BY SIGNING UP WITH THE MOLIN’S (“www.molin.ai”, “Molin”,“Molin AI”, “we”, “us”, and “our”) AFFILIATE PROGRAM (“Program”), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“Agreement”). YOU HEREBY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL CLAUSES OF THIS AGREEMENT AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS HEREIN. This Agreement constitutes the entire contract between the parties in relation to its subject matter.
YOU (“You”, “Affiliate”, “Referrer”, or “Sender”) AGREE THAT THIS AGREEMENT IS AS ENFORCEABLE AS ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU, AND IS ENFORCEABLE AGAINST YOU.
1. Molin's (“Molin”, “we”, “us” or “our”) Affiliate program (“ Affiliate Program”) is valid from the date mentioned above for a period of twelve (12) calendar months, which we may choose to extend at our full discretion. By taking any actions under the Affiliate Program, you (the Sender or Recipient as defined below) 0 to be bound by these Terms & Conditions (“Affiliate Terms & Conditions”). These terms are governed by English law.
2. Within the Molin Affiliate Program, rewards will be granted to both the Sender and the Recipient (as defined herein) who have successfully executed an Affiliate in alignment with the stipulated Affiliate Terms & Conditions of Molin.
3. We reserve the right, at our sole discretion, to update these Affiliate Terms & Conditions at any time. If we make an update, we will post the updated version of the Affiliate Terms & Conditions on our website here (website affiliate terms and conditions link) and provide you notice of the update. Continued participation in the Affiliate Program after any update shall mean that you have agreed to the update(s) made by Molin.
4. The Affiliate Terms & Conditions are in addition to Molin's Terms and Conditions (as may be updated from time to time) which can be found here (as long as this is not to your detriment). In the event of any conflict between the Affiliate Terms & Conditions and Molin's Terms and Conditions, these Affiliate Terms & Conditions apply.
5. Molin may end these Affiliate Terms & Conditions at any time or may decide to not renew the Affiliate Terms & Conditions at the end of a validity period by giving you written notice.
6. This section of the Affiliate Terms & Conditions apply to existing users (the “Sender”) who refer Recipients (as defined below) to receive a reward. We will consider that a Sender has referred a Recipient to us if: (a) they share the Affiliate link provided by us through Rewardful.com (“Affiliate Link”) with the Recipient; and (b) the Recipient uses the Affiliate Link to successfully register and subscribe for a Molin plan, thereby completing a “Affiliate”
7. Affiliate to an existing or previous Molin customer will not qualify for a reward.
8. Sender is required to accept and comply with Rewardful.com's Terms and Conditions, in addition to those set forth herein. Failure to accept Rewardful.com's terms will result in ineligibility to participate in the Affiliate Program.
9. All commission payments to Senders will be handled directly by Rewardful.com. Participants must register with Rewardful.com and provide accurate payment information to receive their commissions. Molin is not responsible for managing commission payments or resolving payment disputes. All inquiries regarding commission payments should be directed to Rewardful.com's support services.
10. Sender(s) found to be engaging in fraudulent activities, including but not limited to self-Affiliates and the creation of multiple accounts, will be immediately removed from the Affiliate Program, and all pending commissions will be forfeited.
11. Sender is strictly prohibited from creating or initiating Pay-Per-Click (PPC) advertisements that utilise the Molin brand name, any Molin product names, or any variations or misspellings thereof. This prohibition extends to all PPC platforms, including, but not limited to, Google Ads, Bing Ads, and Facebook Ads. The creation of such PPC ads is considered a violation of these Terms and Conditions and may result in immediate disqualification from the Affiliate Program, forfeiture of any accrued commissions, and potential legal action.
12. You may not misrepresent your relationship with Molin or imply any affiliation or endorsement by Molin without express permission.
13. The Sender must comply with: (i) the Affiliate Terms & Conditions; and (ii) the terms and policies of any website or application where an Affiliate Link is shared. Affiliate Links may only be used in connection with the Sender’s participation in the Affiliate Program and for no other purpose whatsoever.
14. Subject always to conditions 6, 7, and 13, we will only award the Sender if the Recipient has successfully:
(a) Created an account using the unique Affiliate link provided;
(b) Initiated a monthly or annual subscription with Molin;
(c) For monthly subscriptions, completed payment for the first three months of the subscription. For annual subscriptions, completed payment for the annual plan.
15. Molin reserves the right to alter the conditions for awarding rewards at any time, without the need to provide prior notice.
16. Molin reserves the right to limit the number of customers who can be invited under the Affiliate program.
17. The Recipient must complete the required steps in his or her Molin account in accordance with condition 14.
18. If the Recipient terminates their account before a reward is distributed by Molin, neither the Sender nor the Recipient will qualify for a reward in accordance with these Affiliate Terms & Conditions. In the case of a monthly subscription, if the Recipient cancels their subscription before the due date of the third monthly payment, the Affiliate reward will not be granted.
19. Rewards issued under these Affiliate Terms & Conditions will be valued between $0 (USD) and $189 (USD) at the time of the award.
20. Payments are processed on the 1st of every month through PayPal or bank transfer, with a minimum payout amount of $20 (USD). However, these transactions are facilitated via Rewardful.com
21. Upon the successful processing and receipt of the payout by the Sender, it is important to note that the Recipient's eligibility for requesting a refund for their subscription or any associated services will be forfeited.
22. The Sender acknowledges that employees and contractors of Molin are not eligible to be awarded in connection with our Affiliate Program.
23. For the avoidance of doubt, a will be awarded to Recipient(s) who are eligible and accepted as a customer by Molin. We reserve the right to refuse to onboard any prospective Recipients.
24. The Sender acknowledges that it may be subject to tax implications upon receiving a . Under no circumstances shall Molin be held liable or responsible for any such tax implications.
25. We reserve the right to modify, pause, suspend or end: (i) the Affiliate Program, in whole or in part; and (ii) both the Sender and the Recipient’s ability to either participate in the Affiliate Program, at any time without cause, including for any suspected activity we deem to be abusive, fraudulent, or in violation of these Affiliate Terms & Conditions. In the event that you do not agree with a decision that we make regarding your participation in the Affiliate Program under this condition 25, you can make a complaint to our Customer Service team at hey@molin.ai, where your complaint will be handled in accordance with our complaints order handling procedure.
26. In the event that we deem an Affiliate to be in material breach of these Affiliate Terms & Conditions, neither the Sender nor the Recipient will be eligible for an award. In the event of such a violation, we reserve the right to retract, cancel, or take any legally permissible actions concerning any rewards or benefits accrued in the accounts of either the Sender or Recipient that are linked to the said breach. This measure is taken to uphold the integrity of our Affiliate Program and enforce compliance with its terms.
27. Subscriptions made through third-party platforms, including but not limited to Shopify, do not qualify for Affiliate rewards under the Molin Affiliate program.
28. This section of the Affiliate Terms & Conditions apply to the new customer (the “Recipient”) who has used an Affiliate Link to sign up as a Molin customer.
29. Customers acquired through this Program will be deemed Molin customers, subject to our policies and procedures.
30. In accordance with and subject to these Affiliate Terms & Conditions, we will award a reward to the Recipient in the event that they use an Affiliate Link to sign up as a customer of Molin.
31. The Recipient must comply with: (i) the Affiliate Terms & Conditions; and (ii) the terms and policies of any website or application where an Affiliate Link is posted. Affiliate Links may only be used in connection with the Recipient’s participation in the Affiliate Program and for no other purpose whatsoever.
32. Subject always to conditions 6, 7, and 13, we will only award the Recipient if the Recipient has successfully:
(a) Used the Affiliate Link to become a customer of Molin;
(b) Passed all of our onboarding checks;
(c) Started a subscription plan with Molin following the use of the Affiliate Link; and
(d) Successfully made their first payment after the completion of any applicable free trial period.
33. Molin reserves the right to either increase or decrease the discount amount and to modify the criteria for awarding discounts at any moment, without the need for prior notification.
34. A discount cannot be claimed by an existing or previous Molin customer under these Affiliate Terms & Conditions.
35. If a customer cancels their subscription and later decides to resume it, the previously applied discount will no longer be available.
36. The Recipient must understand that the Affiliate reward is exclusive and cannot be combined with or applied alongside any other promotional discounts or offers provided by Molin.
37. The Sender must be an existing user of Molin at the time of making an Affiliate in order for the Recipient to be eligible for a under the Affiliate Program.
38. The Recipient must complete the required steps in his or her Molin account in accordance with condition 32.
39. If the Recipient terminates their account before Molin awards the reward, both the Sender and the Recipient will be ineligible for a reward in accordance with these Affiliate Terms & Conditions.
40. Rewards granted under these Affiliate Terms & Conditions will offer a discount ranging between 0-10% on subscription plans, with the discount amount potentially varying between monthly and annual subscriptions.
41. We reserve the right to adjust the discount percentage and time length at any time.
42. The Recipient is required to use Stripe for payment processing and must apply their generated promo code at the payment page to receive the discount. Failure to utilise the promo code during payment will result in the loss of the discount, and the Affiliate process will not proceed further.
43. After signing up through the unique Affiliate link, if the Recipient does not receive a promo code, must email hey@molin.ai. For the avoidance of doubt, under no circumstances shall the Recipient be entitled to any form of compensation for our failure to award.
44. The Recipient acknowledges that employees and contractors of Molin are not eligible to be awarded in connection with our Affiliate Program.
45. For the avoidance of doubt, discounts will be awarded to Recipient(s) who are eligible and accepted as a customer by Molin. We reserve the right to refuse to onboard prospective Recipients who fail to meet the eligibility criteria outlined in these Affiliate Terms & Conditions at any given time.
46. The Recipient acknowledges that it may be subject to tax implications upon receiving a . Under no circumstances shall Molin be held liable or responsible for any such tax implications.
47.
